However, it should be taken into account that each state in the US has a separate regulation of corporate law. Although there are entities that create proposals for regulations to unify commercial law issues between states, regulations can vary significantly from state to state. In particular, states such as Delaware, Nevada and Wyoming tempt entrepreneurs with very favorable regulations, not only from the United States, but also from around the world. This does not mean that the subjects of these states are not reliable, but they should be approached with some caution.

For example, the State of Wyoming is famous for its very liberal rules on formal acts of incorporation, minimal tax rates, and very high protection for the company’s partners, including the inability to check the persons behind the company in the registry. For this reason, before doing business with an entity from such a state, it is advisable to ascertain the reliability of the contractor and the business he runs. A company can only be formally registered in the above state, but perform actual activities in another state. This raises the danger of the courts finding that the applicable law is the law of the state or country of actual operations and applying other legal regulations that the parties did not anticipate.
